1. Who we are

Nudge is operated by Northwall Technologies Ltd, a company incorporated in England and Wales (company number 16873407), with its registered office at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ ("we", "us", "our").

By accessing or using nudgebot.ai or installing the Nudge Slack application (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. What the Service does

Nudge is a Slack-based tool that automates the collection and structuring of interview feedback. It integrates with Google Calendar to detect interview events, sends Slack messages to interviewers requesting feedback, uses AI to structure responses, and presents aggregated feedback to recruiters via a web dashboard.

3. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organisation. The Service is intended for business use only.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Use the Service to process feedback about individuals who have not been made aware that interview feedback is being collected and structured by AI
  • Attempt to reverse engineer, copy, or create derivative works of the Service
  • Introduce any malicious code, virus, or harmful component
  • Resell, sublicense, or otherwise transfer access to the Service to any third party

5. AI-generated content

The Service uses large language models to structure interview feedback. AI-generated summaries are intended as decision-support tools only. You are solely responsible for any hiring decisions made using the Service. We make no warranty as to the accuracy, completeness, or fitness for purpose of AI-structured feedback.

6. Data and privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that you have a lawful basis to process candidate and employee data using the Service, and for informing individuals that their data will be processed.

7. Intellectual property

All rights in the Service, including software, design, and brand assets, are owned by or licensed to Northwall Technologies Ltd. Nothing in these Terms transfers any intellectual property rights to you. You retain ownership of all feedback data and content submitted through the Service.

8. Availability and changes

We aim to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time. We will endeavour to provide reasonable notice of significant changes.

9. Limitation of liability

To the maximum extent permitted by applicable law, Northwall Technologies Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability to you in connection with these Terms shall not exceed the greater of (a) the total fees paid by you to us in the twelve months preceding the claim, or (b) £100.

10. Termination

Either party may terminate access to the Service at any time. We reserve the right to suspend or terminate your access immediately if we reasonably believe you have breached these Terms. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our Privacy Policy.

11. Governing law

These Terms are governed by the laws of England and Wales. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
